Terms of Service

1. Agreement to Terms

By accessing or using the services of Pinakra (operated by NOVAWELL PRIVATE LIMITED, a company incorporated under the Companies Act 2013 in India), you agree to be bound by these Terms of Service and our Privacy Policy.

2. Services

NOVAWELL PRIVATE LIMITED provides technology consulting, software development, digital marketing, brand design, and related IT services under the Pinakra brand. Specific terms for each engagement are outlined in individual Service Agreements or Statements of Work (SOW) signed between the parties.

3. Intellectual Property

Upon full payment, all custom work product created specifically for a client (websites, software, designs) is assigned to the client. Pinakra retains rights to its own tools, frameworks, methodologies, and any pre-existing intellectual property incorporated into deliverables under a perpetual, non-exclusive license.

Portfolio rights: Unless specifically contracted otherwise, Pinakra reserves the right to showcase completed projects in our portfolio, case studies, and marketing materials.

4. Payment Terms

Project payments are typically structured as milestone-based instalments as specified in the SOW. Standard payment terms are 50% advance and 50% on completion for projects under ₹2 lakhs. Larger projects use a mutually agreed milestone schedule. Late payments beyond 30 days may attract 2% per month interest.

5. Confidentiality

Both parties agree to maintain the confidentiality of each other's proprietary information. We sign NDAs when required. Confidentiality obligations survive the termination of the engagement for 3 years.

6. Limitation of Liability

NOVAWELL PRIVATE LIMITED's total liability for any claim arising from our services is limited to the total amount paid by the client in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

7. Termination

Either party may terminate an engagement with 30 days written notice. Client will be invoiced for all work completed to the termination date. Advance payments for undelivered milestones will be refunded on a pro-rated basis.

8. Governing Law

These terms are governed by the laws of India. Disputes shall be resolved under the jurisdiction of the courts in Lucknow, Uttar Pradesh, India.
